About the role…

We are now looking for a talented Corporate Legal Counsel to join our team in the UK. As the Corporate Legal Counselyou will proactively contribute to the legal function of the organisation by providing timely and accurate legal advice, mitigating legal risks, facilitating business transactions, and ensuring compliance with applicable laws and regulations.

The Corporate Legal Counsel will be responsible for.

Commercial Contract Management

  • Drafting, assessing, and negotiating a variety of commercial agreements, encompassing service agreements, licensing agreements, and vendor contracts.
  • Ensuring alignment of contracts with company policies, legal mandates, and industry regulations.
  • Proving legal counsel to internal stakeholders regarding contract interpretation, rights, and obligations.

Corporate Support

  • Supporting in corporate transactions, including mergers, acquisitions, and joint ventures.
  • Conducting legal due diligence and contributing to the creation of transactional documents.
  • Supporting corporate governance activities, encompassing board meetings and record-keeping.

Compliance and Regulatory Support

  • Stay abreast of pertinent laws, regulations, and industry standards impacting the clinical trials sector.
  • Contributing to the development and implementation of compliance policies and procedures.
  • Conducting compliance training for employees and ensure adherence to regulatory stipulations.

General Legal Support:

  • Providing legal guidance and assistance on a variety of matters arising during business operations.
  • Collaborating with internal departments to address legal issues and mitigate risks.
  • Assisting in dispute resolution and manage litigation matters, as necessary.

Skills, Experience, and Qualifications…

We are seeking individuals with outstanding communication skills and strong commercial awareness, capable of influencing and persuading at a senior level. Key to this role are risk management, creative thinking, and problem-solving abilities, ensuring everything runs smoothly and efficiently.

We are looking for the following requirements.

Essential requirements…

  • LLB / Bachelor of Law qualification, or equivalent.
  • Admission to the Solicitors Regulation Authority (SRA) in England and Wales or a comparable body in a similar jurisdiction.
  • A minimum of two years, post qualification experience in a law firm, commercial legal department, or relevant practice area.
  • Comprehensive understanding of contract law, commercial transactions, and corporate governance principles.
  • Proficiency in the use of MS Office, including MS Outlook, Word, Excel and PowerPoint.

Desirable

  • Familiarity with UK and EU healthcare regulations and clinical trial processes is advantageous, but not essential.
  • Experience of successfully collaborating with global teams would be beneficial.
